In 2015, a Big 4 firm engaged Integreon needing a process driven, cost-effective solution for drafting and negotiating a wide variety of contracts.
Initially the in-scope contracts included hold-harmless letters and non-disclosure agreements. The engagement expanded in conjunction with a phased roll-out to include master services agreements, marketing material, SOWs, Public Sector contracts, Master Tax Framework Agreements, Tax Addendums, and Standard Tax Terms. The firm needed support for both their client contracts and third-party paper contracts.
Integreon set up a dedicated hub in its Bristol, UK, delivery center. Initially the team was comprised of one senior commercial attorney team lead, supported by three contract specialists. The Team Lead, working alongside an Integreon contract management SME, developed standard templates and designed comprehensive playbooks in support of each of the in-scope agreements. For certain agreement types, in addition to comprehensive playbooks, “light-touch” playbooks were also created to empower the Integreon team to demonstrate a greater latitude in decision making and avoid escalating each time an issue arose outside of the parameters of the comprehensive playbooks.
With Integreon managing drafting and redlining, the firm’s in-house legal team has been freed to devote time and resources to other, more critical tasks. In February 2017, the engagement further expanded to include NDAs generated from the firm’s offices in Switzerland.
In addition to supporting ongoing contract drafting and negotiation, in August 2016 Integreon won an RFP to support the identification, selection, implementation and maintenance of a Contract Lifecycle Management platform. Having identified a platform, and supported the design and implementation phases of onboarding the platform, Integreon now has a separate team of paralegals, co-located with the contract drafting and negotiation team, providing contract storage and CLM platform maintenance support services.
